(hereinafter referred to as "the Trade Commissioner")
Both parties hereby agree as follows:
Article 1 โ Appointment
1.1 The Commission hereby appoints the above-named individual as an Official Trade Commissioner of the BRICS-ASEAN Independent Commission for Trade & Economy.
1.2 The Trade Commissioner shall act as an authorized representative of the Commission for the promotion of trade, investment, strategic economic cooperation, and international business development between BRICS nations, ASEAN member states, and global strategic partners.
1.3 This appointment does not constitute diplomatic status, sovereign immunity, governmental authority, or official state representation unless expressly authorized in writing by the relevant government authority.
1.4 The appointment shall remain valid for a period of _____ years commencing from the effective date of this Agreement unless earlier terminated pursuant to the provisions herein.
Article 2 โ Purpose of Appointment
The purpose of this appointment is to:
- Promote bilateral and multilateral trade cooperation;
- Facilitate investment opportunities and economic collaboration;
- Encourage sustainable economic growth and regional integration;
- Support business networking and strategic partnerships;
- Assist in trade missions, business forums, conferences, and investment promotion activities;
- Strengthen BRICS-ASEAN economic connectivity and commercial diplomacy.
Article 3 โ Roles and Responsibilities
The Trade Commissioner shall:
3.1 Represent the Commission professionally in approved meetings, conferences, trade forums, and economic engagements;
3.2 Identify and facilitate trade and investment opportunities beneficial to member stakeholders;
3.3 Develop strategic networks with government agencies, chambers of commerce, corporations, investors, and trade organizations;
3.4 Assist in organizing trade delegations, investment summits, exhibitions, and business matching activities;
3.5 Prepare periodic trade intelligence reports, economic updates, and market analyses;
3.6 Promote ethical international trade practices and sustainable economic policies;
3.7 Protect and enhance the reputation, integrity, and interests of the Commission at all times;
3.8 Refrain from making unauthorized commitments, political statements, or contractual obligations on behalf of the Commission without written approval.
Article 4 โ Tasks and Performance Obligations
The Trade Commissioner shall undertake the following tasks:
- Generate strategic business introductions and economic partnerships;
- Facilitate trade inquiries and investment referrals;
- Conduct market engagement and stakeholder outreach;
- Support trade negotiations and business facilitation activities;
- Submit quarterly activity and performance reports to the Commission;
- Participate in official Commission programs and meetings;
- Maintain measurable performance standards established by the Commission;
- Assist in attracting investors, strategic alliances, and institutional collaborations.
Article 5 โ Code of Ethics and Professional Conduct
The Trade Commissioner shall adhere to the highest standards of ethics, professionalism, integrity, and accountability. The Trade Commissioner shall:
5.1 Conduct all activities honestly, transparently, and lawfully;
5.2 Avoid corruption, bribery, fraud, conflicts of interest, and unethical business practices;
5.3 Maintain confidentiality of proprietary, institutional, and commercial information;
5.4 Respect international laws, trade regulations, and anti-money laundering principles;
5.5 Avoid discrimination based on race, nationality, religion, gender, or political affiliation;
5.6 Refrain from abusing position, title, influence, or authority for personal gain;
5.7 Uphold the dignity, mission, and credibility of the Commission at all times;
5.8 Avoid actions that may bring reputational damage, legal liability, or public controversy to the Commission;
5.9 Declare any personal or financial interest that may conflict with official duties;
5.10 Operate with fairness, neutrality, and professionalism in all engagements.
Article 6 โ Confidentiality
6.1 The Trade Commissioner shall not disclose confidential information, trade data, strategic plans, investor information, or internal communications without prior written authorization.
6.2 Confidentiality obligations shall survive termination of this Agreement.
Article 7 โ Non-Misrepresentation
7.1 The Trade Commissioner shall not falsely represent themselves as:
- A diplomat of any sovereign government;
- An ambassador with state authority;
- A licensed financial advisor unless duly certified;
- A government procurement officer unless officially authorized.
7.2 Any misuse of title, identity, or authority shall constitute serious misconduct.
Article 8 โ Performance Review
8.1 The Commission reserves the right to conduct periodic evaluations of the Trade Commissioner's performance, conduct, effectiveness, and compliance.
8.2 Performance indicators may include: trade facilitation outcomes; strategic partnerships established; investment introductions; participation in official programs; professional conduct and ethical compliance; reporting and operational contribution.
Article 9 โ Suspension and Termination
9.1 The Commission reserves the absolute right to suspend, revoke, terminate, or dismiss the appointment of any Trade Commissioner at its sole discretion.
9.2 Grounds for termination include but are not limited to: failure to perform assigned responsibilities; negligence or non-performance; breach of ethics or misconduct; corruption, fraud, or abuse of authority; unauthorized representation or misrepresentation; criminal conduct or reputational damage; breach of confidentiality; conflict of interest; actions contrary to the objectives of the Commission.
9.3 Upon termination, the Trade Commissioner shall immediately cease using all titles, credentials, insignias, identification cards, certificates, and representations associated with the Commission.
9.4 The Commission reserves the right to publicly revoke or invalidate any appointment where necessary to protect institutional integrity.
Article 10 โ Intellectual Property and Official Materials
10.1 All official logos, insignias, documents, trade materials, strategic papers, and institutional assets remain the sole property of the Commission.
10.2 Unauthorized reproduction, alteration, or commercial use is prohibited.
Article 11 โ Independent Status
11.1 The Trade Commissioner serves as an independent appointee and shall not be considered an employee, shareholder, or legal partner of the Commission unless separately contracted.
11.2 The Trade Commissioner shall bear personal responsibility for compliance with applicable tax, licensing, and regulatory obligations within their jurisdiction should there be any requirement.
Article 12 โ Governing Principles
This Agreement shall be guided by principles of: International cooperation ยท Economic sustainability ยท Ethical governance ยท Transparency ยท Mutual respect ยท Responsible trade facilitation ยท Institutional accountability.
Article 13 โ Governing Law and Jurisdiction
13.1 This Agreement shall be governed under the internal statutes, charter, and regulations of the BRICS-ASEAN Independent Commission for Trade & Economy together with applicable international commercial principles.
13.2 Any disputes arising shall first be resolved through mediation and institutional arbitration before legal proceedings.
Article 14 โ Acceptance
By signing below, both parties acknowledge that they have read, understood, and agreed to all terms and conditions contained herein.
